IMHO you will get the best upgrade if you go with a used DC-1. If you get one with DTS and version 3 software, you should not need another upgrade for a while. Also the DC-1 is fully upgradeable via a ROM replacement. Another benefit is the excellent support that you get for the product over on Forum 3, both from Lexicon reps themselves and other knowledgeable users.

The DC-1 received good reviews for its 2 channel and home theatre performance.

I should own up to a personal bias here - I am a very satisfied DC-1/MC-1 owner.
